1. Agreement to Terms

Welcome to HostBridge. These Terms of Use ("Terms") govern your access to and use of the HostBridge service, website, and any related applications (collectively, the "Service"). The Service is provided by Relevant Notion Corporation, doing business as HostBridge ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

HostBridge provides a bridge service that connects your property management system (PMS) with AI assistants such as ChatGPT and Claude. The Service enables you to query your property data using natural language through these AI assistants.

HostBridge is a companion service and does not replace your PMS. We access your PMS data on your behalf to answer queries but do not store, modify, or manage your bookings, properties, or guest information except as necessary to provide the Service.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You own or have authorized access to the PMS account you connect
• All information you provide is accurate and truthful

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account using our secure authentication system. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

4.2 Account Responsibilities

You agree to:

• Provide accurate and complete information
• Keep your account information up to date
• Not share your account credentials with others
• Not create multiple accounts without our permission
• Not use another person's account without authorization

5. Authorized Use of the Service

5.1 Permitted Uses

You may use the Service to:

• Query your property management data through AI assistants
• Access information from your connected PMS account
• Manage your HostBridge connections and settings

5.2 Prohibited Uses

You may not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use the Service to transmit malware, viruses, or harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scripts) to access the Service without permission
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Access data you are not authorized to access
• Resell or redistribute the Service without our written permission

6. Property Management System Integration

6.1 Authorization

When you connect your PMS to HostBridge, you grant us permission to access your PMS data on your behalf. You represent and warrant that you have the necessary rights and permissions to authorize this access.

6.2 Third-Party Services

Your use of third-party property management systems and AI assistants is subject to their respective terms of service and privacy policies. HostBridge is not responsible for the practices or policies of these third-party services.

6.3 Service Limitations

The Service is dependent on third-party APIs and services. We are not responsible for:

• Interruptions or limitations imposed by your PMS provider
• Changes to third-party API functionality or availability
• Data accuracy issues originating from your PMS
• Limitations or restrictions imposed by AI assistant providers

7. Intellectual Property Rights

7.1 Our Rights

The Service, including its design, code, text, graphics, logos, and other content, is owned by HostBridge and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Data

You retain all rights to your property management data. By using the Service, you grant us a limited license to access, process, and transmit your data solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or obligation to you.

8. Fees and Payment

Certain features of the Service may require payment. If you choose to use paid features:

• You agree to pay all applicable fees as described on our pricing page
• Fees are non-refundable unless otherwise stated
• We may change our fees with 30 days' advance notice
• You are responsible for all taxes associated with your use of the Service
• Failure to pay may result in suspension or termination of your account

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of data
• Warranties that defects will be corrected

We do not guarantee that the Service will meet your specific requirements or that any data obtained through the Service will be accurate or reliable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOSTBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

This limitation applies even if we have been advised of the possibility of such damages. Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Relevant Notion Corporation (d/b/a HostBridge) and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any data you provide or access through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by disconnecting your integrations and deleting your account through your dashboard.

12.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your use of the Service poses a security risk
• We are required to do so by law
• We discontinue the Service

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We will delete your account data within 30 days
• Provisions that should survive termination will remain in effect
• You remain liable for any outstanding fees or obligations

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. We'll try to resolve the dispute informally by contacting you via email.

13.2 Governing Law

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Relevant Notion Corporation (d/b/a HostBridge) regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
